Description	Summary: The Assistant General Counsel will support ADT Security Services’ residential and small business vertical in North America. The Assistant General Counsel will be responsible for advising and counseling business managers on a wide-range of legal issues associated with commercial and regulatory matters and the structuring and implementation of both B2B and B2C business transactions. The position reports directly to the Associate General Counsel of ADT Residential and Small Business and helps manage all aspects of the legal function as well as provides business-oriented legal support and recommendations to executives and other management of the company. Duties and Responsibilities: 1. Provides advice, education, training and legal direction on a myriad of legal matters related to the electronic security services industry, including regulations, promotional matters, product liability, product development, consumer advertising, telemarketing, privacy and other laws impacting the sales, service and installation of electronic security products. 2. Assists the commercial organization in negotiating all types of commercial contracts as well as structuring, negotiating and documenting complex corporate transactions in compliance with applicable law. 3. Develops paper and electronic contract forms for new product offerings. 4. Keeps abreast of developments in the law affecting the company and its policies and procedures. 5. Works closely with other corporate center functions on developing and implementing corporate compliance processes. 6. Coordinates with internal and outside attorneys regarding regulatory, litigation and employment related issues. 7. Works with in-house subject matter experts and outside counsel providing specialized services to the company in a cost-effective manner including project management, effective budgeting and proper allocation of resources. 8. Advises the business on a wide range of day-to-day issues that require legal review. 9. May oversee the completion of projects, including planning, assigning, monitoring, and reviewing progress and accuracy of work. 10. May assist in complex merger and acquisition due diligence work.
Requirements	Requirements: Education: Juris Doctorate or LLB. Must have been admitted to the Bar Association of at least one of the United States and eligible to register as Authorized House Counsel in the State of Florida. Experience: A minimum of ten (10) years prior legal experience is required. Skills: -Excellent verbal and written communication skills. -Strong leadership abilities. -Ability to effectively work with, and gain the confidence of, ADT Senior Management and other ADT personnel. -Demonstrated judgment skills in the practical application of a broad range of legal principles. -Hands on project management skills. -Strong computer skills and proficiency in Microsoft Office Suite.
